Terms of Service
Effective
These Terms of Service are an agreement between J&T Solutions Inc., a Delaware corporation doing business as Diced, 251 Little Falls Drive, Wilmington, DE 19808, United States ("Diced", "we", "us"), and the business that creates a Diced account or uses the Services ("Customer", "you").
Questions about these Terms go to legal@diced.si. Product and billing questions go to support@diced.si.
Section 14 has an arbitration agreement and a class action waiver. Please read it.
1. Accepting these terms
You accept these Terms when you create an account, check a box that refers to them, buy chips, or use the Services. If you accept for a company or other organization, you confirm that you can bind it, and "you" means that organization.
These Terms include the following documents, each of which is part of the agreement:
- the End User License Agreement, which covers the app, API, MCP server and other software;
- the Acceptable Use Policy;
- the Data Processing Addendum;
- the Privacy Notice, which explains how we handle personal information.
If these documents conflict, this order controls: a signed order form or enterprise agreement, then the Data Processing Addendum for matters of personal data, then these Terms, then the Acceptable Use Policy, then the End User License Agreement.
2. Eligibility and business use
The Services are for business use only. You may not use them as a consumer or for personal, family or household purposes.
You must be at least 18 years old and able to form a binding contract. You confirm that you are not located in, organized under the laws of, or controlled by anyone in a country or region subject to comprehensive U.S. sanctions, and that you are not on a U.S. government restricted-party list.
The Services are built for marketing and sales to people and businesses in the United States. You are responsible for deciding whether your use is lawful where you operate. The Acceptable Use Policy bans use outside the United States where that use is unlawful.
3. Definitions
"Services" means the Diced website at diced.si, the app at app.diced.si, the API and MCP server at api.diced.si, the docs at docs.diced.si, webhooks, and any related software, features and support.
"Workspace" means an account space in the Services that holds chips, audiences, leads, API keys and settings. A workspace has one or more owners and may have members.
"Chips" means the prepaid units used to pay for leads in the Services. Section 6 explains them.
"Lead Data" means information about people and businesses that Diced makes available through the Services, including masked previews, revealed and exported leads, enrichment matches, and leads delivered by webhook, API or MCP.
"Customer Data" means data you or your users submit to the Services, such as enrichment lists and lookup values, "describe your buyer" prompts, audience names and filters, and webhook settings. Customer Data does not include Lead Data that Diced returns to you.
"Account Data" means information about you and your users that we need to run your account, such as names, emails, billing details and usage records.
"Documentation" means the docs at docs.diced.si and in-product guidance.
4. Accounts, workspaces and security
You must give accurate account information and keep it current. You are responsible for everything that happens in your workspaces, including actions by your members, by anyone using your API keys, and by any AI agent or MCP client you connect.
Keep sign-in links, passwords for linked accounts, API keys and connector access secure. Tell us at support@diced.si if you think someone has accessed your account without permission. Workspace owners can invite and remove members, create and revoke API keys, and disconnect MCP clients. We may act on instructions from a workspace owner.
Before anyone in a workspace reveals a lead or creates an API key, they must accept the Acceptable Use Policy. You remain responsible for every member's compliance.
5. The Services
Diced lets you describe the people or businesses you want, see free masked previews, and pay to reveal full leads. You can also save and watch audiences, enrich your own lists, and use the same features through the API, the MCP server and webhooks.
Searching, describing an audience, topic search, counts and masked previews are free. Masked previews hide contact details until you reveal a lead.
We may change, add or remove features. We will not materially reduce the core paid features of a plan in the middle of a billing period you have paid for. If we do, you may cancel and ask for a prorated refund of that period's plan fee.
6. Chips
6.1 What chips are
One chip pays for one full lead. A revealed lead includes every field we have for it, phone numbers included, with no surcharge.
These actions cost one chip each:
- revealing or exporting a lead your workspace has not unlocked before;
- an enrichment lookup that matches;
- each lead auto-revealed by a watched audience, up to the cap you set.
These actions are free:
- searching, describing, topic search, counts and masked previews;
- seeing again a lead your workspace has already unlocked;
- an enrichment lookup that finds no match.
Before an action that spends chips, the app shows the cost. API and MCP calls that spend chips accept a maximum you set, and we do not charge above it.
6.2 How chips are spent
We spend the chips that expire soonest first. Chips belong to the workspace that bought or received them. You cannot move them to another workspace or account.
6.3 When chips expire
- Pack chips expire 365 days after the purchase.
- Plan chips are granted when each billing period's invoice is paid. They expire at the end of the following billing period. In practice, each month's chips roll over for one extra month.
- Upgrade chips. If you upgrade a plan in the middle of a billing period, we grant the difference in chips between the two plans for the part of the period that is left, rounded down. These chips expire on the same date as that period's plan chips.
- Signup bonus. A new account gets 25 chips once its email address is verified. These chips expire 30 days after they are granted. Email addresses on disposable-email domains do not receive the bonus. The bonus is one per person. We may withhold or remove bonus chips that we reasonably believe were obtained through duplicate or fake accounts.
- Other chips we grant, for example as a goodwill credit or promotion, expire on the date we state when we grant them.
Expired chips are gone. We do not restore, refund or extend them, except where the law requires.
6.4 Chips have no cash value
Chips are a prepaid license to use the Services. They are not money, a deposit, a stored-value instrument or property. They have no cash value, earn no interest, and cannot be sold, transferred or redeemed for cash, except where the law requires. [CONFIRM: review state gift card, stored-value and unclaimed property rules for prepaid chips that expire, especially for small business customers in states with strict expiry rules.]
7. Fees, billing and subscriptions
7.1 Prices
Prices are shown on the pricing page and at checkout, in U.S. dollars. Promotion codes may apply where offered. Prices do not include taxes. You are responsible for any sales, use, value added or similar taxes on your purchases, other than taxes on our income. [CONFIRM: tax collection is off at launch; confirm sales tax nexus and whether data or SaaS sales are taxable in states where customers are located.]
7.2 Payment
Stripe processes all payments. By buying, you authorize us and Stripe to charge your payment method for the amounts shown. Packs are one-time purchases. Plans are monthly subscriptions.
7.3 Automatic renewal
Plans renew automatically every month at the then-current price until you cancel. We charge your payment method at the start of each billing period.
7.4 Cancelling
You can cancel a plan at any time in Billing, through the Stripe customer portal. Cancellation takes effect at the end of the current billing period. You keep the plan until then, and chips already granted stay usable until they expire. We do not refund or prorate the current period when you cancel.
7.5 Changing plans
Upgrades take effect right away. Stripe charges a prorated amount for the rest of the current period, and we grant chips as described in section 6.3. Downgrades take effect at the end of the current billing period.
7.6 Price changes
We may change prices. For plans, we will email workspace owners at least 30 days before a new price applies, and the new price applies from your next renewal after that notice. New pack prices apply to purchases made after we post them.
7.7 Failed payments
If a renewal payment fails, Stripe may retry it. If payment still fails, we may end the plan. Chips already granted stay until they expire, unless the charge is reversed.
7.8 Chargebacks
If you dispute a charge that we billed under these Terms, we may suspend the workspace while the dispute is open. If the dispute succeeds or a charge is reversed, we remove the unspent chips that charge paid for. Contact support@diced.si first. Most billing problems are faster to fix that way.
8. Refunds
All purchases are final and non-refundable, except where the law requires a refund or where these Terms say otherwise.
We may give a refund at our discretion, for example for a duplicate charge or a billing error. When we refund a purchase:
- a full refund removes all unspent chips from that purchase;
- a partial refund removes unspent chips from that purchase in proportion to the amount refunded.
We do not refund chips you have already spent. A lead you revealed stays revealed. Re-revealing a lead you have already unlocked, and enrichment lookups with no match, never cost chips, so there is nothing to refund for them.
Deleting a workspace cancels its plan immediately and deletes its unspent chips. We do not refund the current period or the deleted chips. [CONFIRM: whether to offer a prorated refund or a waiting period when an owner deletes a workspace with an active plan; the app cancels the subscription immediately today.]
9. Lead Data
9.1 Your license
Subject to these Terms and your payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use Lead Data that you reveal, export or receive through the Services. You may use it for your own internal business purposes of marketing, sales and prospecting, in compliance with the law and the Acceptable Use Policy.
This license continues after your account ends for Lead Data you already received, as long as you keep complying with these Terms. [CONFIRM: perpetual license for revealed leads versus a time limit, and that it matches the rights Diced holds from its data partners.]
You may let your employees and contractors, and service providers acting for you, use Lead Data for those purposes, under written terms at least as protective as these. You are responsible for them.
9.2 What you may not do with Lead Data
You may not:
- sell, rent, license, publish or give away Lead Data, alone or combined with other data, or use it to build or improve a data product that competes with Diced;
- use Lead Data for any purpose the Acceptable Use Policy bans, including any purpose covered by the Fair Credit Reporting Act;
- use Lead Data to contact a person after they have asked you, or us, not to be contacted;
- try to unmask, re-identify or collect data hidden in masked previews by other means.
9.3 Opt-outs and deletion notices
People in our data can opt out of the sale of their information or ask us to delete it. When we process those requests we stop offering their records and delete them as described in the Privacy Notice.
If we tell you that a person has opted out or asked for deletion, you must stop using that person's Lead Data for marketing within 15 days, and delete it if we ask, unless the law lets you keep it. [CONFIRM: the app does not yet send these notices to customers. Decide whether Diced must forward opt-out and deletion requests to customers who already received the data, under CCPA regulations and other state laws, and build the notice mechanism.]
9.4 Consent is your responsibility
Lead Data does not include consent from anyone to receive your calls, texts or emails. Diced does not provide or transfer consent under the Telephone Consumer Protection Act or any other law. You must get any consent the law requires yourself, before you contact anyone.
The Data Processing Addendum sets out the privacy terms that apply when we provide Lead Data to you.
10. Your responsibilities for outreach
You decide whom to contact, how and when. You are the sender of your emails, the caller for your calls and the sender of your texts.
You are responsible for complying with every law that applies to your outreach and your use of Lead Data. That includes the Telephone Consumer Protection Act and FCC rules, the Telemarketing Sales Rule and the National Do Not Call Registry, state telemarketing, mini-TCPA and do-not-call laws, the CAN-SPAM Act, state privacy laws, and the rules of the platforms you use.
You must:
- scrub phone numbers against the National Do Not Call Registry and applicable state do-not-call lists unless an exemption applies;
- keep your own internal do-not-call and suppression lists;
- honor every opt-out and unsubscribe request promptly and as the law requires;
- give any notices the law requires when you collect or use personal information.
Our safeguards, such as suppression lists and the Acceptable Use Policy, do not replace your own compliance program.
11. Customer Data
You own your Customer Data. You give us a license to host, copy, process and transmit it only as needed to provide, secure and support the Services, and as described in the Data Processing Addendum. You confirm you have the rights and notices needed for us to process it.
We may collect data about how the Services are used, such as feature use, request volumes and error rates, and use it to run and improve the Services. We may use aggregated or de-identified data that does not identify you or any person for any lawful purpose.
12. AI features
The "describe your buyer" feature turns a plain-English description into audience filters using a large language model. We send your prompt, and the list of matching topic names, to OpenRouter, which routes it to a model provider. See the subprocessors page.
- AI output can be wrong. Check the filters and the summary before you reveal leads. Chips spent on leads from filters you accepted are not refundable because the filters were not what you meant.
- Do not put sensitive personal information, or information about a specific person, in a prompt.
- We do not use your prompts to train AI models, and our AI providers are not allowed to use them for training. [CONFIRM: OpenRouter account setting for prompt logging and the data policy of the routed model provider. The code does not set a provider data policy on requests today.]
- AI output is not legal, compliance or other professional advice.
13. API, MCP server and webhooks
The End User License Agreement governs the app, the API, the MCP server, webhooks and the Documentation, including rate limits and usage limits. You are responsible for every call made with your API keys or through an MCP client you connect, including chips that an AI agent spends for you.
AI assistants and other tools that you connect, such as Claude, ChatGPT or Cursor, are third-party services. Their own terms apply, and we are not responsible for them.
14. Disputes, arbitration and class action waiver
14.1 Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
14.2 Try to resolve it first
Before starting arbitration or a court case, the party with the dispute must send written notice describing it. Send notices to us at legal@diced.si and to the address at the top of these Terms. We will send notices to the email of your workspace owner. Both parties will try in good faith to resolve the dispute for 30 days after the notice.
14.3 Binding arbitration
If the dispute is not resolved within 30 days, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration. The American Arbitration Association will administer it under its Commercial Arbitration Rules then in effect, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, and hearings may be held by video. The Federal Arbitration Act governs this section.
Each party bears its own attorneys' fees, unless the arbitrator awards them under the law or these Terms. The arbitration and its results are confidential, except as needed to enforce the award or as the law requires. The arbitrator may not consolidate the claims of more than one customer and may award relief only to the individual party.
14.4 Class action and jury waiver
EACH PARTY MAY BRING DISPUTES ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL.
If a court decides that the class action waiver cannot be enforced for a particular dispute, that dispute goes to court under section 14.6 and not to arbitration.
14.5 Exceptions
Either party may:
- bring an individual action in small-claims court;
- seek an injunction or other equitable relief in court to protect its intellectual property, confidential information or the security of the Services, or to stop a breach of section 9.2 or the Acceptable Use Policy;
- sue in court to collect unpaid fees.
14.6 Venue
Any dispute that is not arbitrated must be brought only in the state or federal courts located in the State of Delaware. Both parties consent to their jurisdiction.
14.7 Time limit
To the extent the law allows, a dispute must be brought within two years after the claim arises.
[CONFIRM: no arbitration opt-out window and no mass-arbitration protocol, matching the trygtm.com terms. Counsel to confirm this is enough given the business-only customer base, and whether to add an AAA mass-arbitration supplement.]
15. Intellectual property and feedback
We and our licensors own the Services, the software, the Documentation, the Diced brand and the Lead Data, including all improvements. These Terms give you only the rights they state.
If you send us feedback or suggestions, we may use them without restriction or payment.
16. Confidentiality
Each party will protect the other's non-public information that it receives in connection with these Terms with reasonable care, and use it only to perform under these Terms. This does not cover information that is public through no fault of the receiving party, that it already knew, that it received from someone else without a duty of confidence, or that it developed independently. A party may disclose information when the law requires, after giving notice where it lawfully can. These duties last during the agreement and for three years after it ends, and for as long as the law protects a trade secret.
17. Suspension
We may suspend all or part of your access, with notice where practical, if:
- we reasonably believe you or your users breached section 9, section 10 or the Acceptable Use Policy;
- your use threatens the security, integrity or availability of the Services or harms others;
- a payment is overdue or disputed;
- the law or a government authority requires it.
We will limit the suspension to what is reasonably needed and lift it when the reason is resolved. Chip expiry dates do not pause during a suspension.
18. Term and termination
These Terms last until your account ends.
You may stop using the Services at any time. You can cancel a plan as described in section 7.4 and delete a workspace in Settings. To close your user account, email support@diced.si.
Either party may end these Terms on written notice if the other materially breaches them and does not cure the breach within 30 days after notice, or 10 days for non-payment. We may end these Terms immediately for serious or repeated breaches of section 9, section 10 or the Acceptable Use Policy.
We may also end these Terms for any reason with 30 days' notice. If we do that without cause, we will refund the purchase price of your unexpired, unspent pack and plan chips.
When the agreement ends, your right to use the Services stops, unspent chips are forfeited unless this section says otherwise, and we delete Customer Data as described in the Data Processing Addendum. Sections 6.4, 8, 9, 10, 11, 14, 15, 16, 19, 20, 21 and 22 survive.
19. Disclaimers
LEAD DATA AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT THE LAW ALLOWS, DICED AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT.
In plain terms:
- Lead Data comes from third-party data partners and other sources. We do not guarantee that it is accurate, complete, current or deliverable, or that a contact is reachable.
- Intent levels and topics are inferences from online activity signals. They are estimates, not facts about what a person wants or will buy.
- Counts and masked previews are estimates and may differ from the leads you reveal.
- We do not guarantee any result, such as replies, meetings, sales or return on investment.
- We do not warrant that the Services will be uninterrupted, error-free or secure, or that we will always be able to build audiences or match lookups. Capacity from our data partners can be temporarily unavailable.
We do not offer a service level agreement or service credits unless we sign one with you.
You can judge data quality before paying by using the free previews and the signup bonus.
20. Limitation of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS:
- NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF IT WAS TOLD THEY WERE POSSIBLE.
- EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID AND PAYABLE BY CUSTOMER TO DICED UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY.
These limits do not apply to your payment obligations, your indemnity obligations, your breach of section 9, section 10 or the Acceptable Use Policy, a party's infringement of the other's intellectual property, or liability that the law does not allow to be limited, such as fraud.
The fees reflect this allocation of risk. These limits apply even if a remedy fails of its essential purpose. [CONFIRM: whether to add a minimum cap, for example US$100, for customers who only used free chips.]
21. Indemnity
21.1 By you
You will defend Diced, its affiliates, and their officers, directors, employees, contractors and agents against any claim, demand, suit, investigation or proceeding by a third party, including a regulator or a person you contacted, arising out of:
- your outreach, including calls, texts, emails, ads and mail sent by you or for you;
- your use of Lead Data or the Services;
- Customer Data;
- your breach of these Terms, the Acceptable Use Policy or the law.
You will pay the damages, fines, penalties, settlements and reasonable attorneys' fees that result.
21.2 By us
We will defend you against a third-party claim alleging that the Diced software, as we provide it and as you use it under these Terms, infringes that third party's U.S. patent, copyright or trademark, or misappropriates its trade secret. We will pay the damages and costs finally awarded or agreed in a settlement we approve. This does not cover Lead Data, Customer Data, third-party services, or claims caused by your changes, combinations or breach. If a claim seems likely, we may modify the Services, get you a license, or end the affected Services and refund unspent prepaid chips. This section states our whole obligation for infringement claims. [CONFIRM: whether Diced should give any indemnity for Lead Data, and how the data partner agreement allocates that risk.]
21.3 Process
The party seeking defense must notify the other promptly, give it control of the defense and settlement, and cooperate at its expense. No settlement may impose an obligation or admission on the defended party without its consent.
22. General
Changes to these Terms. We may update these Terms. We will post the new version with a new date. For material changes, we will email workspace owners or tell you in the app at least 30 days before they take effect. Changes required by law, or that address new features, may take effect sooner. If you keep using the Services after changes take effect, you accept them. If you do not agree, stop using the Services and cancel your plan.
Notices. We send notices by email to workspace owners or in the app. Send legal notices to legal@diced.si, with a copy by mail to J&T Solutions Inc., doing business as Diced, Attn: Legal, 251 Little Falls Drive, Wilmington, DE 19808. Electronic notices satisfy any requirement that notices be in writing.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in a merger, acquisition or sale of assets.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
Export. You will comply with U.S. export control and sanctions laws.
Relationship. The parties are independent contractors. There are no third-party beneficiaries.
Entire agreement. These Terms and the documents listed in section 1 are the whole agreement on their subject and replace earlier agreements. Purchase order terms do not apply.
Severability and waiver. If a court finds a provision unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver.
Headings. Headings are for convenience only.
